Production Process Technology definition

Production Process Technology means any Production Process Know-How and Production Process Patents.
Production Process Technology means processes and technology which are useful for the production, manufacture, purification, formulation (including galenic formulations and conjugation with toxins, other biological or biochemical substances, radioisotopes or other chemical substances), testing, stability assessment or packaging of antibodies, products containing antibodies and/or Product, or which are useful for the production, manufacture, sterilisation or use of any delivery system or other medical devices for packaging or administration of antibodies, products containing antibodies and/or Product.
Production Process Technology means materials, technology, technical and non-technical information, know-how, expertise and trade secrets relating to the production, purification, evaluation, characterization, stability assessment, vialing and distribution, manufacture and release of antibodies.

  • Each Party shall have the right, during normal business hours and upon reasonable notice, to inspect and copy any such records, except, with respect to Medarex's records, to the extent that such records contain proprietary information with respect to the Production Process Technology or the HuMAb Mice.

  • Production Process Technology is only included in the Licensed Technology to the extent that it has been specifically used by Genmab or its Affiliates to Develop or produce HuMax-CD38 or the [***] up to the Execution Date or for the purposes of the Development Plan.

  • Notwithstanding anything to the contrary in this Section 5.5 or elsewhere in this Agreement, deCODE shall not be obligated to disclose or provide any of its Production Process Technology, including Biological Materials, to Genmab/Medarex or any Third Party except as may be required or permitted under a separate written agreement entered into by the Parties pursuant to Section 1.2.8 or Section 1.6 of the Collaboration Agreement.

  • Notwithstanding anything to the contrary in this Section 5.5 or elsewhere in this Agreement, Medarex shall not be obligated to disclose or provide any of its Production Process Technology, including Biological Materials, to Northwest or any Third Party; provided, however, that Medarex shall provide such Production Process Know-How to the Regulatory Authorities as is necessary to obtain and maintain Regulatory Approval for Unilateral Products.

  • Notwithstanding anything to the contrary in this Section 5.5 or elsewhere in this Agreement, Medarex or Genmab shall not be obligated to disclose or provide any of their respective Production Process Technology, including Biological Materials, to deCODE or any Third Party except as may be required or permitted under a separate written agreement entered into by the Parties pursuant to Section 1.2.8 or Section 1.6 of the Collaboration Agreement.

  • Medarex shall be responsible, at its expense and in its sole discretion, for the preparation, filing, prosecution and maintenance of the Medarex Patent Rights and any Patents Covering the Medarex Production Process Technology and for conducting any interferences, reexaminations, reissues, oppositions, or request for Patent term extensions relating thereto.

  • Notwithstanding anything to the contrary in this Section 7.5 or elsewhere in this Agreement, neither Party shall be obligated to disclose or provide any of its Production Process Technology, including Biological Materials with respect thereto, to the other Party, any of such other Party's Affiliates or any Third Party except as may be required or permitted under a separate written agreement entered into by the Parties pursuant to Sections 1.2.4, 1.6, or 7.1.4.

  • With respect to Medarex Technology that is not Mice-Related Technology or Production Process Technology, Medarex shall have the first right, but not the obligation, to remove such infringement at its sole cost and expense.

  • Manufacturing Technology means any and all patents, patent applications, Know-How, and all intellectual property rights associated therewith, and including all tangible embodiments thereof, that are necessary or useful for the manufacture of adeno- associated viruses, adeno-associated virus vectors, research or commercial reagents related thereto, Licensed Products, or other products, including manufacturing processes, technical information relating to the methods of manufacture, protocols, standard operating procedures, batch records, assays, formulations, quality control data, specifications, scale up, any and all improvements, modifications, and changes thereto, and any and all activities associated with such manufacture. Any and all chemistry, manufacturing, and controls (CMC), drug master files (DMFs), or similar materials provided to regulatory authorities and the information contained therein are deemed Manufacturing Technology.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Product Technology means the Product Know-How and Product Patents.
