primary business entity means any of Purchaser and its Affiliates, if the revenues directly generated by such Person (which, for the avoidance of doubt, shall not include revenues indirectly generated by, or aggregated with, any other Person) attributable to the sale of Seller Group Products and Services in the Territory pursuant to the Business constitute more than fifty percent (50%) of the revenues generated by such Person and (y) “Primary Business Assets” shall mean any assets of Purchaser and its Affiliates if the revenues directly generated by all such assets (which, for the avoidance of doubt, shall not include revenues indirectly generated by, or aggregated with, any other assets) that are attributable to the sale of the Seller Group Products and Services in the Territory pursuant to the Business constitute more than fifty percent (50%) of the revenues generated by or attributable to such assets; provided, that solely for purposes of the foregoing clauses (x) and (y), references to “revenues” shall be references to revenues as measured during the twelve (12)-month period set out in the most recent audited financial statements of such Person (in the case of the foregoing clause (x)) or the Person that holds the applicable assets (in the case of the foregoing clause (y)).
