Primary Agents definition

Primary Agents means Deutsche Bank, in its capacity as Domestic Administrative Agent, Deutsche Bank Canada, in its capacity as Canadian Administrative Agent, Bank of America and JPMorgan, in their respective capacities as Syndication Agents and MLPFS and JPMS, in their respective capacities as Joint Bookrunners, and also means and includes any successor to any Administrative Agent or Joint Bookrunner appointed pursuant to subsection 11.5A.
Primary Agents means Primary Documentation Agent and Administrative Agent and also means and includes any successor Primary Documentation Agent or Administrative Agent appointed pursuant to subsection 11.5.
Primary Agents means Scotiabank, in its capacity as Administrative Agent, Deutsche Bank and Chase, in their respective capacities as Co-Syndication Agents, and Deutsche Banc Alex. Bro▇▇ ▇▇d JPMorgan, in their respective capacities as Co-Arrangers, and also means and includes any successor to the Administrative Agent, the Co-Syndication Agents or the Co-Arrangers appointed pursuant to subsection 11.5.

Examples of Primary Agents in a sentence

  • Only the Authorized or Primary Agents identified in Attachment D to this Agreement (“Designation of Authority”) may authorize addition or removal of agency users.

  • Only the Authorized or Primary Agents identified on the Designation of Authority (Agents) in Attachment D may authorize addition or removal of agency users.

  • No Primary Agent nor its officers, directors, employees or agents shall be liable to Lenders for any action taken or omitted by such Primary Agent under or in connection with any of the Loan Documents except to the extent caused by such Primary Agent's gross negligence or willful misconduct.

  • Primary Agents may also require that any such documents and signatures be confirmed by a manually-signed copy thereof; provided, however, that the failure to request or deliver any such manually-signed copy shall not affect the effectiveness of any facsimile document or signature.

  • The Primary Agents and Primary Co-Collateral Agents shall be satisfied in its reasonable discretion with the cash management system of the Loan Parties.

  • For the purposes hereof, the address of each party hereto shall be as set forth under such party's name on the signature pages hereof or (i) as to Borrowers and Primary Agents, such other address as shall be designated by any such Person in a written notice delivered to the other parties hereto and (ii) as to each other party, such other address as shall be designated by such party in a written notice delivered to Administrative Agent.

  • The Borrowers shall jointly and severally pay to the Applicable Administrative Agent for the account of the Initial Lenders (and their respective Affiliates) such fees as may be required to be paid pursuant to the Fee Letter and such other fees as may be from time to time agreed among the Borrowers and the Primary Agents and the Primary Co-Collateral Agents (and their respective Affiliates).

Related to Primary Agents

  • Remarketing Agent(s) means the Remarketing Agent(s) appointed by the Company, pursuant to the Remarketing Agreement.

  • DIP Agents means the DIP ABL Agent and the DIP Term Loan Agent.

  • Managing Agents as defined in the preamble hereto.

  • Senior Managing Agents means the financial institutions listed on the cover page to this Agreement as “Senior Managing Agents”.

  • Placement Agents has the meaning set forth in the Recitals.
