If SBC subsequently obtains the ability to provide such services then, subject to the Pre-existing Commitments set forth in Schedule 4.2(b)(i) of the Strategic and Marketing Agreement or other commitments entered into in accordance with this Section 5.2(d) after the Closing Date, Operating Partnership will give SBC an opportunity to match the terms upon which any Third Party is providing such services and replace the Third Party as promptly as is commercially practicable if SBC does match such terms.

To the extent Eschelon has pre-existing contracts, agency agreements, or other binding commitments (“Pre-existing Commitments”) which are in effect on the effective date of this Agreement, Eschelon shall have the right to continue to receive services pursuant to such Pre-existing Commitments, but only for the current term of such commitments.
ICP hereby agrees to use commercially reasonable efforts to limit such Preexisting Commitments by either entering into an amendment with the respective third party to eliminate such Preexisting Commitment, or if ICP is unsuccessful, not renewing each such Preexisting Commitment.
