Pre-Commitment Information definition

Pre-Commitment Information means, taken as an entirety, (i) information with respect to Holdings and its Subsidiaries contained in the Confidential Information Memorandum dated November 2003 Holdings or the Acquisition provided to any Agent or Lender by or on behalf of Holdings prior to the Closing Date.

Pre-Commitment Information means, taken as an entirety, any written information in respect of Parent and its Subsidiaries provided to any Agent or Lender by or on behalf of any Borrower prior to the Closing Date.

Pre-Commitment Information has the meaning specified in Section 3.1(g).

Examples of Pre-Commitment Information in a sentence

• The consolidated balance sheet of Holdings and its Consolidated Subsidiaries as of the end of the most recent fiscal quarter prior to the Closing Date for which financial information is available, prepared on a pro-forma basis in accordance with Regulation S-X giving effect to the consummation of the Transactions, has heretofore been furnished to each Lender as part of the Pre-Commitment Information.

• There is no fact known to Holdings or the Borrower or any of their Subsidiaries which could reasonably be expected to have a Material Adverse Effect which has not been disclosed herein or in the Pre-Commitment Information.

More Definitions of Pre-Commitment Information

Pre-Commitment Information means all written information, including one or more confidential information memoranda and other marketing materials to be used in connection with the syndication of the Commitments that have been made available to Rabobank by CBII, the Borrower or any representative thereof.

Pre-Commitment Information means, taken as an entirety, the information with respect to the Borrower and its Subsidiaries contained in the Confidential Information Memorandum dated September 2006.

Pre-Commitment Information has the meaning given in Section 4.01(a)(vi)(D).

Pre-Commitment Information means all of the written information in the Information Memorandum provided by or on behalf of the Parent to the Administrative Agent and the Lenders (other than any information therein provided by ML&Co. and its Affiliates).

Pre-Commitment Information means, taken as an entirety, (i) information with respect to the Company and its Subsidiaries contained in the Confidential Information Memorandum dated February 2005 and (ii) the Registration Statement.

Pre-Commitment Information means all of the information relating to Nortek, the Company or any of their respective Subsidiaries furnished to the Agent by Nortek or the Company on or before August 14, 1997.
