Confidential Information Memoranda definition

Confidential Information Memoranda means (a) that certain confidential offering memorandum dated as of November 19, 2003 with respect to the proposed issuance by Holdings of the Qualified Senior Notes, (b) that certain confidential offering memorandum dated as of November 19, 2003 with respect to the proposed issuance by Holdings of the Convertible Preferred Stock and (c) that certain prospectus supplement dated as of November 19, 2003 with respect to the proposed issuance by Holdings of its New Common Stock.
Confidential Information Memoranda means one or more confidential information memoranda and other materials, in each case in form and substance customary for transactions of this type and otherwise reasonably satisfactory to both the Arrangers and the Borrower, to be used in connection with the syndication of the Loan Facility.

The Company and its subsidiaries are presently in material compliance with all applicable laws or statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal policies and contractual obligations relating to the privacy and security of IT Systems, Confidential Data, and Personal Data and to the protection of such IT Systems, Confidential Data, and Personal Data from unauthorized use, access, misappropriation or modification.

  • Buyer Confidential Information shall have the meaning set forth in Section 5.1.

  • Information has the meaning specified in Section 10.07.

  • Confidential means confidential financial information concerning offeror’s organization and data that qualifies as a trade secret in accordance with the Uniform Trade Secrets Act NMSA 1978 57-3-A-1 to 57-3A-7. See NMAC 1.4.1.45. As one example, no information that could be obtained from a source outside this request for proposals can be considered confidential information.

  • Customer Confidential Information means Confidential Information of the Customer provided to Computershare.
