Potential Subscribers definition

Potential Subscribers. Persons or entities who or which receive copies of the Offering Circular and any Offering Materials intended to or which do induce any consideration of investing in any immediate Offering. This group includes those who invest successfully as well as those whose Subscriptions are either not accepted by the Managers or whose Subscriptions are accepted by the Managers, but who fail to ultimately be admitted as Members because the Offering or the specific Round of the Offering to which they were subscribed fails to Close. (See also “Prospective Purchasers” below).
Potential Subscribers means those Persons within the Franchise Area who are not Subscribers.

Examples of Potential Subscribers in a sentence

  • Potential Subscribers should carefully read the Confidential Private Placement Memorandum of Catalyst Corporate dated March 5, 2019, (the “Memorandum”) and this Agreement.

  • If the Company does not enter into an agreement with the Potential Subscriber(s) for the sale of the Offered Securities within such ninety (90) day period, or if such agreement is not consummated within thirty (30) days of the execution thereof, the right provided hereunder shall be deemed to be revived and such Offered Securities shall not be sold to the Potential Subscriber(s) unless first reoffered to the Preferred Shareholders in accordance with this Section 4.1.1.

  • Adviser shall not attempt to obtain subscriptions funded from a discretionary account without the Potential Subscribers, the Sponsor’s, managing-broker dealer’s, and WealthForge’s written approval.

  • Potential Subscribers in the area shall be given notice of the costs and potential impact on Subscriber rates, and shall be surveyed, at Grantee’s expense, as to their opinion.

  • Potential Subscribers may be drawn from all eligible potential users as defined in this DRP Attachment, which excludes State and Local Government Entities.

  • Potential Subscribers should note that the past performance of other funds managed by the Administrator, the General Partner, the Investment Adviser or the Sub-Adviser is not a guarantee of future results.

  • Potential Subscribers may be drawn from all classes of potential users of Wireless Service excepting current Subscribers to the Company's Wireless Service.

  • Dealer agrees to use its best efforts to protect and promote Company's goodwill and business reputation and not to use such goodwill or business reputation except in connection with the promotion and marketing of, and the solicitation of Potential Subscribers for, Company's Service.

  • Potential Client means any person or entity to whom the Company has offered (by means of a personal meeting, telephone call, or a letter or written proposal specifically directed to the particular person or entity) to serve as investment adviser or to provide or distribute insurance products but which is not at such time an advisee, investment advisory or insurance customer, distributor or client of the Group or any person or entity for which a plan exists to make such an offer; persons or entities solicited or to be solicited solely by non-personalized form letters and blanket mailings are excluded from this definition;

  • serious offence means: a crime or offence involving the death of a person; a sex-related offence or a crime, including sexual assault (whether against an adult or child); child pornography, or an indecent act involving a child; fraud, money laundering, insider dealing or any other financial offence or crime, including those under legislation relating to companies, banking, insurance or other financial services; or an attempt to commit a crime or offence described in (a) to (c);

  • Pre-Licensed Therapist means an individual who has obtained a Master’s Degree in Social Work or Marriage and Family Therapy and is registered with the BBS as an Associate CSW or MFT Intern acquiring hours for licensing. An individual’s registration is subject to regulations adopted by the BBS.

  • Potential Enrollee means a Medical Assistance Recipient who may voluntarily elect to enroll in a given managed care program, but is not yet an Enrollee of an MCO.

  • Non-Participating Home Infusion Therapy Provider means a Home Infusion Therapy Provider who does not have a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.
