If requested by the Representatives, the opinions of K&L Gates LLP, U.S. counsel for the Underwriters, and Plesner, Danish counsel for the Underwriters, each dated such Date of Delivery, relating to the Option ADSs to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
The Representatives shall have received from Plesner, Danish counsel for the Underwriters, such opinion or opinions, dated as of such Closing Date, with respect to such matters as the Underwriters may reasonably require, and the Company shall have furnished to such counsel such documents as they request for enabling them to pass upon such matters.
