Plan Pay definition

Plan Pay means that portion of a Participant’s Compensation in respect of any Plan Year that is in excess of the limit established under Section 401(a)(17) of the Code in respect of such Plan Year, provided that solely for purposes of determining whether Plan Pay for the first Plan Year is in excess of the limit established under Section 401(a)(17) of the Code, a Participant’s Plan Pay shall be the excess over $265,000 of the Participant’s base salary and annual incentive attributable to DuPont, the Company and their respective Affiliates, collectively.
