Performance Level III definition

Performance Level III means, at any date of determination, (a) that the Performance Level does not meet the requirements of Performance Level I or Performance Level II and (b) that the Company shall have a Company Debt Rating in effect on such date of at least BBB by S&P or at least Baa2 by Moody's.

Performance Level III means, at any date of determination, that (a) the Performance Level does not meet the requirements of Performance Level I or Performance Level II and (b) the Borrower and its Subsidiaries shall have maintained for the most recently completed four consecutive fiscal quarters of the Borrower and its Subsidiaries prior to such date (i) an Interest Coverage Ratio of greater than or equal to 3.0 to 1 and (ii) a Leverage Ratio of less than or equal to 3.0 to 1.
