Each of PCK and PZC is validly existing and in good standing as a Massachusetts business trust, under the laws of the Commonwealth of Massachusetts, with full right and power to execute, deliver and perform its obligations under this Agreement and each Related Document to which it is a party.
This Agreement constitutes a valid and binding agreement of each of PCK and PZC, enforceable in accordance with its terms except as (i) the enforceability thereof may be limited by bankruptcy, insolvency or similar laws affecting creditors’ rights generally and by general equitable principles (regardless of whether enforceability is considered in a proceeding in equity or at law) and (ii) rights to indemnity and contribution thereunder may be limited by federal and state securities laws.
The representations and warranties set out in this Article V are given hereunder by each of PCK and PZC to the Investor as of the date of this Agreement.
