PC Documents definition

PC Documents means the Management Services Agreements, the Deficit Funding Agreements, the Continuity Agreements, the License Agreements, the Consulting Agreements and, as applicable, the Business Associate Agreements.
PC Documents means, collectively, the Participation Certificates and the PC Repurchase Agreement, as each may be amended, restated, supplemented or otherwise modified from time to time.

Examples of PC Documents in a sentence

  • The Servicer hereby covenants and agrees not to amend any PC Documents except for such amendments that would have no material adverse effect upon the collectability or timing of payment of any of the Participation Certificates or the performance of its or the Issuer’s obligations under the Transaction Documents or otherwise adversely affect the interest of the Noteholders, without the prior written consent of the Majority Noteholders of all Outstanding Notes.

  • The Servicer shall not fail to comply with its obligations as the servicer under each of the PC Documents, which failure would have a material Adverse Effect.

  • Except as set forth on Schedule 6.8, none of the PC Documents requires notice to, or the consent or approval of, any governmental agency or other third party with respect to any of the transactions contemplated hereby in order to remain in full force and effect, and the consummation of the transactions contemplated hereby will not give rise to any right to termination, cancellation or acceleration or loss of any right or benefit of PC or NEWCO.

  • The Servicer hereby covenants and agrees not to amend any PC Documents except for such amendments meeting the same criteria set forth in Section 12.1, without the prior written consent of the Majority Noteholders of all Outstanding Notes.

  • The Servicer hereby covenants and agrees not to amend any PC Documents except for such amendments that would have no material adverse effect upon the collectability or timing of payment of any of the Participation Certificates or the performance of its or the Issuer’s obligations under the Transaction Documents or otherwise adversely affect the interest of the Noteholders, without the prior written consent of the Administrative Agent and the Majority Noteholders of all Outstanding Notes.

  • The Servicer shall not fail to comply with any obligation as the servicer under each of the PC Documents, if such failure would have a material Adverse Effect.

Related to PC Documents

  • L/C Documents means the Letters of Credit, any draft or other document presented in connection with a drawing thereunder, the Applications and this Agreement.

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • LC Documents means all applications, agreements and instruments relating to the Letters of Credit but excluding the Letters of Credit.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.
