If the joint commission cannot settle the dispute, the latter shall be submitted, at the request of either Contracting Party to an arbitration tribunal set up as follows for each individual case: Each Contracting Party shall appoint one arbitrator within a period of two months from the date on which either Contracting Pasty has informed the other Party of its intention to submit the dispute to arbitration.
If the Indemnifying Party does not undertake to settle, compromise or defend any such Legal Action, such settlement, compromise or defense shall be conducted in the sole discretion of such Indemnified Party, but such Indemnified Party shall provide the Indemnifying Pasty with such information concerning such settlement, compromise or defense as the Indemnifying Party may reasonably request from time to time.
If the defense of the Legal Action is handled by the Indemnified Pasty under the provisions of this subsection, the Indemnifying Pasty shall pay all legal and other expenses reasonably incurred by the Indemnified Pasty in conducting such defense.
If the Indemnifying Party undertakes to settle, compromise or defend any such asserted liability, it shall notify such Indemnified Pasty in writing of its intention to do so within thirty (30) days of notice from such Indemnified Party provided above.
Each Contracting Pasty shall permit all funds of an investor of the other Contracting Party related to the Investment in its territory to be freely transferred, without unreasonable delay.
Each Party agrees that all trade names, trademarks and service marks adopted or used by such Pasty from time to time at the sole and exclusive property of such Party and that neither Party shall take any action which may constitute an infringement of the other Party's rights therein without prior written authorization from such Party.
Except for the indemnification obligations pursuant to Section! 10 (or a breach of those obligations), any breach of Section 12 Confidentiality, or a Party’s intentional recklessness or willful misconduct, under no circumstances and under no legal theory, in tort, contract, or otherwise, will either Party be liable to the other Pasty for any indirect, special, incidental or consequential damages, even if the Party has been informed of the possibility of such damages.
