Partner Value definition

Partner Value means the sum of any upfront Proceeds and any milestone Proceeds, but specifically excluding any royalty Proceeds.

Examples of Partner Value in a sentence

  • From the date the Buy-Out Notice is given, the Receiving Partner shall have thirty (30) days in which to notify the Offering Partner in writing of the Receiving Partner's election to either purchase the Offering Partner's Interest at the offering Partner Value, or to sell its own Partnership Interest at the Receiving Partner Value.

  • Such Buy-Out Notice shall set forth the Stated Value and shall contain the accountants' determination of the offering Partner Value and the Receiving Partner Value.

  • This includes contractual documents and papers as well as data and information of and about Value Added Partner, Value Added Partner’s auxiliary persons and End-User necessary for the performance of the Agreement.

  • Partner Level means the program levels as described in detail in the applicable PartnerEdge Program Guide.

  • Partnership Unit means a fractional, undivided share of the Partnership Interests of all Partners issued hereunder. The allocation of Partnership Units among the Partners shall be as set forth on Exhibit A, as may be amended from time to time.

  • General Partner Unit means a fractional part of the General Partner Interest having the rights and obligations specified with respect to the General Partner Interest. A General Partner Unit is not a Unit.

  • Partner Group means any legal entity that has direct or indirect Control over the Partner and only as long as that legal entity maintains direct or indirect Control (“Parent Companies”) as well as all Associated Companies of the Parent Companies.

  • General Partner Units has the meaning assigned to such term in the Partnership Agreement.
