Since the Organizational Date, (i) all notices to be provided and reports required to be filed with any Governmental Authority have been duly and properly filed in accordance with all Laws applicable to the Purchased Assets or the Business, and (ii) neither Seller nor any Member has received any written notice or other written communication alleging or relating to noncompliance with or a possible violation by Seller or any Member of any Laws applicable to the Purchased Assets or the Business.
Except as set forth in Section 4.18 of the Disclosure Schedules, there are no Actions pending or, to the Knowledge of Seller, threatened, involving the Business, any Member (in connection with the Business) or Seller or its respective properties or business, at Law or in equity or before any Governmental Authority, or that have been settled, dismissed or resolved since the Organizational Date.
