Ordering Company definition

Ordering Company has the meaning set out in Article 53.1;
Ordering Company shall refer to Buyer, any Affiliate of Buyer, or a Non-U.S. Ordering Company that places an Order under this Agreement or an applicable LOA.
Ordering Company means any one of (a) AT&T; (b) an Affiliate of AT&T; (c) a United States entity at least twenty-five percent (25%) of the ownership interest of which is owned directly or indirectly by AT&T; or (d) a non-United States entity at least twenty-five percent (25%) of the ownership interest of which is owned directly or indirectly by AT&T and in which the other party (or parties) in the non-United States entity is not a telecommunications services provider(s). An Ordering Company must be designated in writing by AT&T. Orders or Supplemental Agreements will be contractual relationships between Ordering Company and Supplier and only Ordering Company and Supplier shall have the respective rights and duties of buyer and seller thereunder.

  • Ordering Company requests which do not go through Supplier's Call Receipt function will be excluded from the Performance Metrics.

  • Simultaneous with initial invocation of such process, Ordering Company shall deposit and have held in escrow, until such dispute is resolved, an amount equal to the current market price of the license in question.

  • Ordering Company agrees that such optional features will not be activated without written authorization from Supplier and Ordering Company's payment of the appropriate license fees.

  • Where temporary facilities are required, Ordering Company will provide suitable, portable facilities including supplies and custodial Services.

  • For purposes of this clause, "delivery" shall mean the point at which Supplier or Supplier's supplier or agent turns over possession of the Product or Licensed Materials to Ordering Company, Ordering Company's employee, Ordering Company's pre-selected designated carrier, Ordering Company's warehouse, or other Ordering Company's agent and not necessarily the final destination shown on the Order.

Ordering Company means an Affiliate of Company designated as an Ordering Company pursuant to Article 59.1;
Ordering Company or "Ordering Companies" shall mean Company and any affiliated corporation, partnership, venture or other entity both U.S. and foreign, a majority of whose voting stock or ownership interest is owned directly or indirectly by Lucent Technologies Inc. Any Ordering Company may enter into Specific Project Agreements and/or place Orders (as defined in Article 6, SPECIFIC PROJECT AGREEMENTS AND ORDERS) under this SA, and if so entered into or placed, Ordering Company shall be deemed to refer to the entity that enters into or issues such a Specific Project Agreement or Order. All provisions of this SA shall apply to all Specific Project Agreements entered into or Orders placed by any Ordering Company.
Ordering Company means AT&T or any of its associated corporations, partnerships, or ventures, both U.S. and foreign, any of which may order under this Agreement by issuing an Order, Supplemental Agreement or TCL. An associated corporation, partnership, or venture is an entity, eight percent (8%) of the voting stock or ownership interest of which is owned directly or indirectly by AT&T. Any Order, Supplemental Agreement or TCL issued under this Agreement will be a contractual relationship between the Ordering Company and Supplier and Supplier shall look only to the Ordering Company for performance of the Company's obligations under such Order, Supplemental Agreement, or TCL under this Agreement. PRODUCT means systems, equipment and parts thereof, including Operating System Software and Base Firmware, but the term does not mean Software whether or not Software is part of Firmware.
