Order Year means from March 14, 2016 through March 13, 2017 for the first Order Year, and thereafter each following period of twelve (12)

Order Year means from March 14, 2011 through March 13, 2012 for the first Order Year, and thereafter each following period of twelve (12) consecutive months. Buyer shall order 2,500 Railcars per Order Year (“Annual Order Quantity”) until the Base Order Quantity is reached. Of those 2,500 Railcars, Buyer shall order [*****] per month from Exhibit A (“Monthly Order Quantity”) of each Order Year for a total of [*****] per Order Year (“Scheduled Cars”), in each case until the Base Order Quantity is reached. • Car Order Instructions In the event that Buyer fails to place one or more Orders for all or any portion of the Unscheduled Cars required to be Ordered during an Order Year by the first day of the last month of such Order Year, Seller shall Order on Buyer’s behalf the number of Railcars necessary to fulfill the Unscheduled Car requirement for such Order Year.

• If Micron furnishes Intel with a Response to Forecast that commits to supply quantities greater than the Qualified Probed Wafer Commitment in the Ramp Period or an Order Year, but no greater than the applicable Demand Forecast, then the Qualified Probed Wafer Commitment in the Ramp Period or that Order Year shall be deemed to be the greater amounts indicated in the Response to Forecast.

• Buyer shall order 2,500 Railcars per Order Year (“Annual Order Quantity”) until the Base Order Quantity is reached.

• Seller shall schedule car production slots in each month of an Order Year to produce the Monthly Order Quantity, for a total of [*****] production slots for Scheduled Cars in each Order Year (“Allocated Production Slots”).

• Of those 2,500 Railcars, Buyer shall order [*****] per month from Exhibit A (“Monthly Order Quantity”) of each Order Year for a total of [*****] per Order Year (“Scheduled Cars”), in each case until the Base Order Quantity is reached.

• The aggregate amount of Qualified Probed Wafers in each Qualified Probed Wafer Demand Forecast (and each update thereof) will be equal to at least an amount sufficient to permit Intel to satisfy the Qualified Probed Wafer Commitment for each Order Year covered in whole or in part by the applicable Qualified Probed Wafer Demand Forecast without the need to purchase more than [***] Qualified Probed Wafers [***] during such Order Year.

• In each consecutive twelve-month period during the period commencing on the Start Date and ending at the end of the Term (each, an “Order Year”), but subject to the limits in this Section 2.1 and Section 3.1, [***] Qualified Probed Wafers spread over the applicable Order Year in accordance with Section 3.1 (the “Qualified Probed Wafer Commitment”).

Order Year means each twelve-month period commencing from the date of the first Order placed by SPA for the Drug Product.
