Offering Prepayment means a prepayment made in accordance with Clause 8.9 (c);

  • Such notice shall specify (a) the date fixed for such prepayment, (b) the principal amount to be prepaid on such date, (c) the amount of accrued interest to be paid or anticipated to be paid on such date, and (d) the amount of the Prepayment Premium or Qualified Public Offering Prepayment Premium, if any, to be paid in connection therewith.

  • The Issuer will duly and punctually pay the principal of, Prepayment Premium and Qualified Public Offering Prepayment Premium (if any) and interest on the Notes and will timely pay and perform all other Obligations in accordance with the terms the Note Documents.
