Noncompete Term means that period of time commencing on the Distribution Date and ending on the 5 year anniversary of the Distribution Date.

Noncompete Term means the period commencing on the Effective Date and ending one (1) year following the Executive's voluntary termination of employment. In the event of Executive's involuntary termination without Cause, including termination due to Good Reason, the Noncompete Term (and therefore the restrictions of Section 4.1) shall not apply to Executive unless the Company elects (pursuant to a writing delivered to Executive on or before the date of such termination) to compensate the Executive in accordance with the salary payment terms of this Agreement through December 31, 2005.
