Related to New Issue Closing

New Issue means any initial public offering of an equity security as defined in Section 3(a)(11) of the Exchange Act, made pursuant to a registration statement or offering circular. New issue shall not include:
New Issuance has the meaning set forth in Section 4.2(a).
New Issuance Price shall have the meaning set forth in Section (3)(f).
Series Closing Date means the date designated as such in the Series Term Sheet.
Financial Closing means the execution of the Financing Documents by all the parties thereto, and the fulfillment of all conditions precedent thereunder necessary to permit the advance of funds to pay amounts due under this Agreement.
