• NCMEC and PROGRAM PARTNER acknowledges that in performing this Agreement, each Party may acquire information that is confidential (“Confidential Information”) to the other Party.

• If the indemnifying Party assumes defense of the claim, the indemnified Party may participate in, but not control, the defense of such claim using attorneys of its choice and at its sole cost and expense (i.e., with such cost and expense not being covered by the indemnifying Party).

• The cumulative liability of NCMEC to PROGRAM PARTNER for all claims arising from or relating to this Agreement, including without limitation any cause of action sounding in contract, tort, or strict liability, shall not exceed one U.S. dollar.
