The District agrees to ensure that the State Water Board, the Governor of the State, the United States Environmental Protection Agency, the Office of Inspector General, any member of Congress, the President of the United States, or any authorized representative of the foregoing, will have safe and suitable access to the MST Project site at all reasonable times during MST Project construction and thereafter for the term of the SRF Loan Agreement.
The District agrees that as of the date hereof, none of the Project Funds or the MST Project are being used to provide property subject to contracts or other arrangements with persons or entities engaged in a trade or business (other than Governmental Units) that involve the management of property or the provision of services that do not comply with the standards of the Treasury Regulations and Revenue Procedure 97-13.
Upon termination of this Agreement, the Independent Evaluator will deliver to the State and the Lead Provider, and provide an irrevocable license to the State, the Lead Provider, and the investors under the PFS Contract (“Investors”) to use all of the Evaluation Deliverables, except for confidential information regarding any MST Project participant, in a format specified by the State, the Lead Provider, or the Investors.
Should a potential archeological or historical resource be discovered during construction of the MST Project, the District agrees that all work in the area of the find will cease until a qualified archeologist has evaluated the situation and made recommendations regarding preservation of the resource, and the Division has determined what actions should be taken to protect and preserve the resource.
Except as provided in the SRF Loan Agreement, the District will not abandon, substantially discontinue use of, lease, or dispose of the Project or any significant part or portion thereof during the useful life of the MST Project without prior written approval of the Division.
The District reasonably expects that the completion of acquisition, construction, improvement and equipping of the MST Project and the allocation of Project Funds to expenditures for the MST Project will proceed with due diligence.
Notwithstanding the foregoing, the Lead Provider shall not increase the aggregate amount of the Lead Provider’s portion of the MST Project Budget at the expense of the Subcontract Service Provider portions of the MST Project Budget or any other portion of the MST Project Budget, and shall not decrease the aggregate sum of the Subcontract Service Provider portions of the MST Project Budget except with the Approval of the Governance Committee.
The MST Project Budget may be amended from time to time during the Term by the Lead Provider with written notice to the Governance Committee, so long as such amendments do not cause the Total Project Costs to change.
Upon Completion of Construction of the MST Project, the District will expeditiously initiate MST Project operations.
For purposes of this Contract, “Investor Consent” means concurrence of more than sixty-five percent (65%) of the Investors, as measured by each Investor’s pro rata share of capital invested in the MST Project.
