M&S Fees definition

M&S Fees means those fees that are applicable to the M&S as specified in a Quote/Order Form
M&S Fees all fees for the performance of M&S, including all actual Billable Expenses.
M&S Fees mean fees for Maintenance.

  • DI reserves the right to suspend M&S where any M&S Fees or Subscription Fees are in default.

  • The Production Fees, Professional Services Fees, M&S Fees, and License Fees (and any other amounts payable by Client under this Agreement) are exclusive of all applicable taxes, including, without limitation, excise, sales, use, added value, and customs, duties or governmental impositions, and similar taxes or fees, now in force or enacted in the future, and Client shall have sole responsibility for the payment of such taxes, with the exception of taxes on M*Modal’s income or assets.

  • The start date and accrual of the M&S Fees for all Software begins thirty (30) days from the Date of Delivery of the Software.

  • With respect to any Subscription License, the Subscription License includes Maintenance and the monthly, quarterly, or annual license fees for the Subscription License reflected on the Order include all M&S Fees.

  • Notwithstanding anything to the contrary in this Agreement, Client acknowledges and agrees that, to the extent Client is delinquent in paying to M*Modal any undisputed Professional Services Fees or M&S Fees, and such payment remains delinquent after written notice from M*Modal and a ******************************* in which to cure such delinquency.

  • Taxes: The Production Fees, Professional Services Fees, M&S Fees, License Fees, and any other monies payable by Client under this Agreement are exclusive of all applicable taxes, including, without limitation, excise, sales, use, added value, and customs, duties or governmental impositions, and similar taxes or fees, now in force or enacted in the future, and Client shall have sole responsibility for the payment of such taxes, with the exception of taxes on M*Modal's net income.

  • Tyler hereby waives Maintenance and Support Fees for the six (6) month period commencing on the Effective Date, whereupon Purchaser shall pay M&S Fees on a prorated basis for the remainder of the initial term.

Related to M&S Fees

  • Services Fees means the agreed upon fees in an Order for the Services Offerings.

  • Annual Fees means annual Trustee Fees and annual fees related to monitoring Tax Increment, in an amount not to exceed $10,000.

  • Tax fees means the aggregate fees billed in each of the last two fiscal years for professional services rendered by the Company’s external auditor for tax compliance, tax advice and tax planning.

  • L/C Fees means, with respect to an L/C, the amount calculated by multiplying (i) the face amount of that L/C by the rate for calculation of the L/C Fee specified in Section 2.6 by (ii) a fraction, the numerator of which is the duration of the term of that L/C and the denominator of which is the number of days in the calendar year in question.

  • School Fees means the money payable by the Parent/s to the School in connection with a Student’s education, excluding any Enrolment Fee, Deposit or Additional Fees.
