Minimum IPO means a Public Offering after the Effective Date at the conclusion of which, as determined in good faith by the Committee, the aggregate price for all shares of Common Stock, or common stock of a Subsidiary, having been sold to the public in such Public Offering, plus the aggregate offering price for all shares of Common Stock, or common stock of a Subsidiary, sold in all prior Public Offerings of Common Stock occurring after the date of any such award, exceeds $50 million.
