Microsoft NPA definition

Microsoft NPA means the Note Purchase Agreement, dated as of December 31, 2021, between the Company and Microsoft Corporation, as amended by the First Amendment to Note Purchase Agreement, dated February 14, 2022, and the Second Amendment to Note Purchase Agreement, dated July 15, 2022.

  • Without duplication of any of the foregoing, upon the occurrence of an event that results in a mandatory prepayment under and pursuant to the Microsoft NPA, then, concurrently with any such mandatory prepayment under the Microsoft NPA, the Company shall prepay all or a portion of the outstanding principal amount of the Notes, together with unpaid interest accrued thereon, if any, as and to the extent required pursuant to Section 3.1(a)(ii) of the Depositary Agreement.

  • The Company shall procure at its own expense and maintain in full force and effect, such insurance as is consistent with Prudent Industry Practices and as otherwise required by Section 9.5 of the Microsoft NPA.
