Mercury Information definition

Mercury Information means all information given by Mercury to the Company for inclusion in the Scheme Booklet in connection with the disclosure of the NZ Separation being:
Mercury Information consists of Personal Non-Public Information provided by or on behalf of Mercury to Global, as defined under the ▇▇▇▇▇-▇▇▇▇▇-▇▇▇▇▇▇ Act and implementing regulations, as well as all information within the scope of the PCI Data Security Standard and/or subject to state data protection laws.

  • Global shall maintain appropriate safeguards and controls and exercise due diligence to protect Mercury Information and Global Processing Resources against unauthorized access, use, and/or disclosure.

  • This Exhibit does not transfer Global title of any ownership rights or rights in patents, copyrights, trademarks and trade secrets included in Mercury Information Systems.

  • Global shall maintain processes to determine whether a prospective member of Global’s workforce with access to Mercury Information and Mercury Information Systems is sufficiently trustworthy.

  • All media on which Mercury Information is stored shall be protected against unauthorized access or modification.

  • Each party shall ensure that its employees and contractors remain aware of industry standard security practices, and their respective responsibilities for protecting the Mercury Information and the Global Processing Resources.

  • Any license to the software programs contained within the Mercury Information Systems shall be pursuant to a separate agreement between the parties.

  • Company Information As defined in Section 4(a)(i).

  • Directory information means information contained in an education record of a student which would not generally be considered harmful or an invasion of privacy if disclosed. It includes, but is not limited to: the student’s name, address, telephone listing, electronic mail address, photograph, date and place of birth, major field of study, dates of attendance, grade level, enrollment status (i.e., full-time or part-time), participation in officially recognized activities and sports, weight and height of members of athletic teams, degrees, honors and awards received, and the most recent educational agency or institution attended. It also includes the name, address, and telephone number of the student’s parent(s). Directory information does not include:

  • Customer Confidential Information means any information disclosed (whether disclosed in writing, orally or otherwise) by the Customer to the Company that is marked as “confidential”, described as “confidential” or should have been understood by the Company at the time of disclosure to be confidential;

  • Business Confidential Information means all information, knowledge or data related to the operation of the Business or the Company that is not in the public domain or otherwise publicly available, other than as a result of any action or inaction by a Seller, or that has been treated as confidential by the Company.

  • Proprietary Information shall have the same meaning as Confidential Information.
