Member Commitment definition

Member Commitment has the meaning specified in Section 3.2(e) hereof.
Member Commitment means, with respect to each Member, the amount that is set forth opposite such Member’s name on Schedule 3.2 attached hereto which represents the amount of the aggregate capital to be contributed by such Member to the Company as contemplated by Section 3.4 and such Member’s Subscription Agreement.
Member Commitment means, with respect to each Member, the amount that is set forth opposite such Member's name on Schedule 3.2 attached hereto which represents the amount of the aggregate Capital Contribution to be made by such Member to the Company as contemplated by Section 3.4 and such Member's Subscription Agreement.

Examples of Member Commitment in a sentence

  • Each of the Members shall only be liable to make payment of its respective Member Commitment as and when due hereunder and other payments as expressly provided in this Agreement.

  • Each Member Advance shall bear interest at a rate of 10% per annum and have a term of five years (notwithstanding any termination of the Member Commitment after the Member Advance is made).

  • Revolver Commitment means, with respect to each Lender, its Revolver Commitment, and, with respect to all Lenders, their Revolver Commitments, in each case as such Dollar amounts are set forth beside such Lender’s name under the applicable heading on Schedule C-1 or in the Assignment and Acceptance pursuant to which such Lender became a Lender hereunder, as such amounts may be reduced or increased from time to time pursuant to assignments made in accordance with the provisions of Section 13.1.

  • Group Commitment means with respect to any Purchaser Group the aggregate of the Commitments of each Purchaser within such Purchaser Group.

  • L/C Commitment means the commitment of the Issuing Bank to issue Letters of Credit pursuant to Section 2.23.
