Material Location definition

Material Location has the meaning ascribed to it in Section 5.8.
Material Location means (i) any leased location that is the corporate headquarter of a Loan Party, and (ii) any other leased location or bailee location where assets having a fair market value in excess of $2,000,000 are located.
Material Location means any office, place of business or facility owned or leased by the Borrower or any Subsidiary, excluding leased or other nonowned locations or places of business (i) at which no books and records are maintained with respect to the accounts receivable of Borrower or any Subsidiary and at which no payment for any such account receivable is received or collected, and (ii) at which the property of the Borrower or its Subsidiaries owned or leased and located thereon does not exceed $5,000.

  • Contractor shall ensure that all such Submittals have been clearly marked to show the particular characteristics or model of the product to be approved, are properly labeled with the following information, and that all such information on such labels is true and correct: Project name and location; Name of Contractor; Name of Subcontractor and manufacturer; Name, finish and composition of the Material; Location or applicability to the Work; and Reference to specification section and drawing sheet number.

  • Without in any way limiting the foregoing, Borrower shall use its best efforts to deliver or cause to be delivered to the Agent a Landlord's Waiver from the owner/lessor of any Material Location, provided, however, that with respect to Borrower's Panorama City, California location, Borrower shall have a period of thirty (30) days from the Closing Date to provide such Landlord's Waiver.

  • Set forth on Schedule M-1 is a true and complete list of each Material Location of Borrower and each Guarantor (as such Schedule may be updated in accordance with Section 6.9).

  • If Borrower or any of its Subsidiaries shall acquire or establish a new Material Location subsequent to the date of this Agreement, Borrower shall promptly, and in any event within thirty (30) days after such location is acquired or established, notify the Bank thereof and provide to Bank, promptly upon its request, such additional information regarding such new Material Location as the Bank may reasonably require.

  • In the event that, after using its best efforts, Borrower is unable to provide the Agent a Landlord's Waiver for any Material Location, the Agent shall have the right, but not the obligation, to attempt to obtain such Landlord's Waiver from the applicable Person and Borrower shall cooperate with the Agent in connection with any such attempt to obtain such Landlord's Waiver.

More Definitions of Material Location

Material Location means (a) any location listed on Schedule M-1, and (b) any other location (i) which is used for processing data (such as a data center or a regional center or satellite center) or (ii) has Inventory or Equipment with an aggregate value in excess of $50,000.
Material Location means (a) any of the premises described on Schedule 5.13 and (b) any other premises not owned by a Borrowing Base Party at which Collateral having an aggregate fair market value (as reasonably determined by the Agent) in excess of $1,000,000 is at any time located.

Related to Material Location

  • Business location means a location where the firm carries out an activity that requires registration, and includes a residence if regular and ongoing activity that requires registration is carried out from the residence or if records relating to an activity that requires registration are kept at the residence;

  • Principal Location has the meaning assigned thereto in clause (b)(iii) of the definition of Good Reason, above.
