Market Amount definition

Market Amount means, with respect to the relevant Option Securities as of any Dealing Day, an amount in the Base Currency equal to (i) an amount equal to the product of (a) the number of outstanding Option Securities of the same financial instrument that are subject to this Agreement, and (b) the Value of the relevant Option Security for any fifteen (15) Dealing Days selected by the Holder from the period commencing ninety (90) Dealing Days before and ninety (90) Dealing Days after (such period to be extended by the number of days of default) the relevant Exercise Date or the date one or more of the Event of Default has occurred (as the case may be) minus (ii) an amount equal to the product of (a) the number of Option Securities of the same financial instrument that are de-designated and not subject to this Agreement, and (b) the relevant De-designation Price per each such Option Securities.

More Definitions of Market Amount

Market Amount means either: (a) the sum (whether positive or negative) of (i) the Market Quotation for the Transactions if a Market Quotation is determined and (ii) losses and costs (or gains) in respect of any payment required to have been made and not made or non- compliance with Clauses 5 or 7 on or before the Early Termination Date or as a result of suspension under Clause 13.2; or (b) the Non-Defaulting Party's Loss (whether positive or negative) for the Transactions if a Market Quotation cannot be determined or would not (in the reasonable belief of the Non-Defaulting Party) produce a commercially reasonable result, where:
Market Amount means an amount, determined by AIGMFC and subject to verification by the Owner Participant, on the basis of quotations from Reference Market-makers for the dollar amount that would be payable on the Early Termination Date to AIGMFC in consideration of an agreement between AIGMFC (taking into account the Guarantor's Guarantee, with respect to the obligations of AIGMFC) and the quoting Reference Market-maker, with the Early Termination Date as the date of commencement of such agreement, that would require AIGMFC to perform its payment and other obligations hereunder that would, but for the occurrence of the Early Termination Date, fall due on or after the Early Termination Date. AIGMFC (or its agent) will request each Reference Market-maker to provide its quotation as of 11:00 a.m., New York City time, on the Early Termination Date. If more than three (3) such quotations are provided, the Market Amount will be the arithmetic mean of the quotations without regard to the quotations having the highest and lowest values. If exactly three (3) such quotations are provided, the Market Amount will be the quotation remaining after disregarding the quotations having the highest and lowest values. For this purpose, if more than one quotation has the same highest value or lowest value, then one of such quotations shall be disregarded. If fewer than three (3) quotations are provided, the Market Amount will be determined in good faith by AIGMFC subject to acceptance by the Owner Participant.

Related to Market Amount

  • Open Market Adjustment Amount shall have the meaning specified in Section 2(I).

  • Net Amount means the Distribution Amount less the sum of all quarterly payments received by the COP Swap Counterparties under the COP Swap Collateral Agreement in respect of amounts owed under the COP Swap Agreements since January 1, 2014.

  • Target Amount is defined in Section 4.3(b)(i).
