Mandatory Shelf Securities definition

Mandatory Shelf Securities means the Registrable Securities issued pursuant to the Purchase Agreement.
Mandatory Shelf Securities shall also include (i) all of the Second Closing Shares, if any, issued to the Purchasers at the Second Closing and (ii) any other securities issued or issuable in respect of the Mandatory Shelf Securities by way of stock split, stock dividend, distribution, recapitalization, merger, exchange or similar event.

Examples of Mandatory Shelf Securities in a sentence

  • The Company shall use its reasonable efforts to keep the Mandatory Shelf Registration Statement (or any successor Shelf Registration Statement) continuously effective under the Securities Act until the earlier of (A) the date when all of the Mandatory Shelf Securities covered by such Mandatory Shelf Registration Statement have been sold or cease to be Registrable Securities and (B) one (1) year after the Effective Date (such period, the “Mandatory Shelf Effectiveness Period”).

  • Otherwise, such Subsequent Mandatory Shelf Registration Statement shall be on another appropriate form and shall provide for the registration of such Mandatory Shelf Securities for resale by the Purchasers in accordance with any method of distribution elected by the Purchasers.

  • The Company will use commercially reasonable efforts to avoid the issuance of or, if issued, obtain the withdrawal of (i) any order suspending the effectiveness of the Mandatory Shelf Registration Statement, or (ii) any suspension of the qualification (or exemption from qualification) of any of the Mandatory Shelf Securities for sale in any jurisdiction, as promptly as reasonably practicable.

  • For the avoidance of doubt, the term “Mandatory Shelf Securities” shall also include (i) all of the Second Closing Shares, if any, issued to the Purchasers at the Second Closing and (ii) any other securities issued or issuable in respect of the Mandatory Shelf Securities by way of stock split, stock dividend, distribution, recapitalization, merger, exchange or similar event.

  • The “Plan of Distribution” section of any Mandatory Shelf Registration Statement shall permit all lawful means of disposition of the Mandatory Shelf Securities, including firm-commitment underwritten public offerings, block trades, agented transactions, sales directly into the market, purchases or sales by brokers and sales not involving a public offering.

  • Spin-Off Securities means equity share capital of an entity other than the Issuer or options, warrants or other rights to subscribe for or purchase equity share capital of an entity other than the Issuer.

  • Shelf Notes is defined in Section 1.2.

  • Conversion Securities has the meaning set forth in Section 4.08(b).

  • Lock-Up Securities shall have the meaning set forth in Section 4.1.

  • Series A Securities means the Company's 10.01% Series A Junior Subordinated Deferrable Interest Debentures due March 15, 2027, as authenticated and issued under this Indenture.

  • Redemption Securities means any debt or equity securities of the Corporation, any Subsidiary or any other corporation or other entity, or any combination thereof, having such terms and conditions as shall be approved by the Board of Directors and which, together with any cash to be paid as part of the redemption price, in the opinion of any nationally recognized investment banking firm selected by the Board of Directors (which may be a firm which provides other investment banking, brokerage or other services to the Corporation), has a value, at the time notice of redemption is given pursuant to paragraph (d) of this Section 5, at least equal to the Fair Market Value of the shares to be redeemed pursuant to this Section 5 (assuming, in the case of Redemption Securities to be publicly traded, such Redemption Securities were fully distributed and subject only to normal trading activity).

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • Compliant Securities means securities issued by UBS Group AG or any of its subsidiaries that have economic terms not materially less favourable to a Holder than these Terms and Conditions (as reasonably determined by the Issuer), provided that

  • Hybrid Preferred Securities means any preferred securities issued by a Hybrid Preferred Securities Subsidiary, where such preferred securities have the following characteristics:

  • ETP Securities means the Series of ETP Securities to which these Conditions relates or, as the context may require, any or all securities issued by the Issuer under the Programme.

  • Qualified Securities means securities of a reporting issuer that carry the right to participate in voting on the appointment or removal of the reporting issuer’s auditor;

  • Mandatorily Convertible Securities means any mandatorily convertible equity-linked securities issued by the Borrower or its Subsidiary, so long as the terms of such securities require no repayments or prepayments and no mandatory redemptions or repurchases, in each case prior to at least 91 days after the later of the termination of the Commitments and the repayment in full of the Revolving Credit Advances and all other amounts due under this Agreement.

  • Available Securities means the securities of the Funds that are available for Loans pursuant to Section 3.

  • Exempt Securities has the meaning set forth in Section 4.4(d).

  • Shelf Notice See Section 2(c) hereof.

  • Subsequent Shelf Registration shall have the meaning given in subsection 2.3.2.

  • Shelf Offering Notice has the meaning set forth in Section 2(d)(ii).

  • New Securities means, collectively, equity securities of the Company, whether or not currently authorized, as well as rights, options, or warrants to purchase such equity securities, or securities of any type whatsoever that are, or may become, convertible or exchangeable into or exercisable for such equity securities.

  • Specified Securities means ‘equity shares’ and ‘convertible securities’ as defined under clause (zj) of sub-regulation (1) of regulation 2 of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2009;

  • Subsequent Shelf Registration Statement has the meaning set forth in Section 2(b) hereof.

  • Shelf Registrable Securities has the meaning set forth in Section 1(d)(i).

  • Warrant Securities means this Warrant and the Warrant Shares, collectively.

  • Maximum Number of Securities shall have the meaning given in subsection 2.1.4.

  • Exchange Debentures has the meaning set forth in Section 2(a) hereof.
