Management Notes definition

Management Notes as defined in Section 7.6(b).
Management Notes means the subordinated notes issued by the Borrower, any Subsidiary or any Parent Company to existing or former employees, officers, consultants or directors of the Borrower, any Subsidiary or any Parent Company in consideration for such Person’s Equity Interests in the Borrower, any Subsidiary or any Parent Company, in each case subordinated to the Obligations on terms and conditions reasonably satisfactory to the Administrative Agent.
Management Notes means the Subordinated Promissory Note by and between Saratoga and Thomas F. Cooke dated on or about July 14, 2008, and the Subordinated Promissory Note by and between Saratoga and Andrew Clifford also dated on or about July 14, 2008.

More Definitions of Management Notes

Management Notes means up to $25,000,000 aggregate principal amount of 8.00% convertible senior secured third lien notes due 2016 of the Co-Issuers, having terms and conditions that are not less favorable to the Co-Issuers than the Convertible Notes and with respect to which the holders (or a trustee or agent on behalf of such holders) shall have executed a supplement to the Intercreditor Agreement agreeing to be bound thereby on the same terms applicable to the holders of Convertible Notes.
Management Notes. The term "Management Notes" shall mean the Management Notes dated the date of the Management Stock Subscription Agreement, between each of the Management Investors and the Company.
Management Notes means $5,500,000 in aggregate original principal amount of Management Notes of the Company issued on the date hereof, as well as (i) any Notes issued in exchange therefor or upon transfer thereof and (ii) any increase in the principal amount thereof pursuant to paragraph 1 of such Notes. All such Notes shall be considered one series.
Management Notes means any notes evidencing Indebtedness which, by their terms, are expressly subordinated to the Notes, that are issued by the Company, any Subsidiary or any Parent to existing or former employees, officers, consultants, or directors of the Company or any Subsidiary or any Parent in consideration for such person's Equity Interests of the Company, any Subsidiary or any Parent.
Management Notes means promissory notes payable to the Borrower from members of management of the Borrower and contributed to the Borrower as an equity investment in the Borrower; provided that the aggregate principal amount -------- of such promissory notes at any time outstanding shall not exceed $3,500,000.
Management Notes means those certain promissory notes in the original aggregate principal amount not to exceed $900,000 and all accrued interest thereon issued by certain members of Management to Holdings in connection with the Acquisition.
