Management Allocation definition

Management Allocation means the allocation of [•<10.00]% of the aggregate Distributions to be made pursuant to Section 6.4(c) to employees, officers, or directors of Group in connection with a Company Sale made in accordance with this Agreement.
Management Allocation has the meaning ascribed to it in Section 1.7(b). “Material Adverse Change (or Effect)” means a change (or effect), in the condition (financial or otherwise), properties, assets, liabilities, rights, obligations, operations, business or prospects which change (or effect) individually or in the aggregate, is materially adverse to such condition, properties, assets, liabilities, rights, obligations, operations, business or prospects. “Patent-Specific Revenue, Gains or Judgments” means any amount due to or received by the Company, the Buyer or any of their Affiliates that pertains specifically to any claims of patent use or infringement by any unaffiliated party or entity of the Company Technology. “Patent Strategy” has the meaning ascribed to it in Section 1.6.
Management Allocation means the portion of the Trust Fund allocated to the Managing Entity to offset costs associated with supervising an Activity.

  • Project Management costs will be determined based on the 1-month period following the time point at which the study was terminated using the Project Management Allocation spreadsheet (Exhibit D).
