Majority share acquisition means the acquisition of shares of a corporation, domestic or foreign, entitling the holder of the shares to exercise a majority of the voting power in the election of directors of such corporation without regard to voting power that may thereafter exist upon a default, failure, or other contingency, by either of the following:

Majority share acquisition means the acquisition, whether in a single transaction or a series of transaction, by any individual, firm, corporation, partnership or other entity, or group (within the meaning of Section 13(d)(3) or Section 14(d)(2) of the Exchange Act) of a majority of the combined voting-power of the then outstanding voting securities of the Company entitled to vote generally in the election of directors.
