Majority of the Securities definition

Majority of the Securities means (a) a majority of the principal amount of the Notes, if no Conversion Shares have been issued, (b) a majority of the Conversion Shares and Warrant Shares, if all of the Tranche B Notes have been converted into Conversion Shares, or (c) a majority of the Conversion Shares and Warrant Shares outstanding and Conversion Shares issuable upon conversion of Tranche B Notes if both Notes and Conversion Shares are outstanding.

  • NIM Securities Any debt securities secured or otherwise backed by some or all of the Class X and Class P Certificates that are rated by one or more Rating Agencies.

  • Majority Holders means the Holders of a majority of the aggregate principal amount of Securities registered under a Registration Statement.

  • Conversion Securities has the meaning set forth in Section 4.08(b).

  • Series A Debentures means the 8.675% Series A Junior Subordinated Deferrable Interest Debentures due February 1, 2027 of the Debenture Issuer issued pursuant to the Indenture.

  • Series B Securities means the Company's Series B 9 3/8% Junior Subordinated Deferrable Interest Debentures due May 1, 2028, as authenticated and issued under this Indenture.

  • Lock-Up Securities shall have the meaning set forth in Section 4.1.

  • Underwriters' Securities means the Offered Securities other than Contract Securities.

  • Majority Interest means one or more Members who in the aggregate hold more than 50% of all Membership Shares.

  • Exchangeable Securities means any securities of any trust, limited partnership or corporation other than the Trust that are convertible or exchangeable directly for Units without the payment of additional consideration therefore;

  • Managing Underwriter means, with respect to any Underwritten Offering, the book running lead manager of such Underwritten Offering.

  • Reorganization Securities has the meaning set forth in Section 6.9 hereof.

  • Parity Securities has the meaning specified therefor in Section 2.02(b) of this Agreement.

  • Marketed Underwritten Offering means any Underwritten Offering (including a Marketed Underwritten Shelf Take-Down, but, for the avoidance of doubt, not including any Shelf Take-Down that is not a Marketed Underwritten Shelf Take-Down) that involves a customary “road show” (including an “electronic road show”) or other substantial marketing effort by the Company and the underwriters over a period of at least 48 hours.

  • Majority Noteholders means the Holders of a majority by principal amount of the most senior then outstanding class of Notes.

  • Transfer Restricted Securities means Securities that bear or are required to bear the legend relating to restrictions on transfer relating to the Securities Act set forth in Section 2.3(e) hereto.
