Maintenance Adjustment definition

Maintenance Adjustment means collectively the Airframe Maintenance Adjustment and the Engine Refurbishment Maintenance Adjustment as the amounts payable by Lessee pursuant to Section 5.4 of the Common Terms Agreement, Section 3 of this Agreement and Schedule B, Part VI of this Agreement.

More Definitions of Maintenance Adjustment

Maintenance Adjustment. In respect of each calendar month (or part thereof) during the Term, Lessee will pay to Lessor at the end of the Term in accordance with Section 5.4 of the Common Terms Agreement and Section 3.3 of this Agreement the following Maintenance Adjustments for each Airbus Aircraft:
Maintenance Adjustment means an amount as specified in the Engine Lease Agreement in respect of Engine Supplemental Rent and Engine LLP Supplemental Rent. Maintenance Contributions means, as and if applicable, all amounts payable by Lessor pursuant to Section 7.2 (Maintenance Contributions).
Maintenance Adjustment means a positive or negative adjustment determined by the Initial Lender and agreed by the Borrower to the half-life “current market value” of an Aircraft to take into account such Aircraft’s most recently reported maintenance status, as provided in a report delivered by Appraiser.
Maintenance Adjustment means to the extent any of the activities set forth in Section 6.02(a)(PART III) of the Disclosure Letter have not been completed prior to Closing, the sum of the amounts set forth in such Schedule for each such activity, less costs incurred and paid by Sellers in accordance with the standards set forth in Section 6.02(a) in connection with such maintenance activities that are so partially completed prior to Closing, without duplication of amounts included in Net Working Capital.
Maintenance Adjustment means, with respect to any Aircraft (whether transferred as an Independent Aircraft or a BI Aircraft, but excluding any Substitute Aircraft), the amount of any maintenance contribution obligations, airworthiness directive cost sharing obligations and similar obligations of a lessor in respect of such Aircraft in respect of any claim therefore under a Lease made and paid by the Seller or Existing Lessor of that Aircraft after the AP Closing Date and through the Delivery Date of that Aircraft.
Maintenance Adjustment has the meaning given to such term in the Asset Purchase Agreement or, in the case of any Additional Aircraft acquired through the issuance of Additional Notes, to any comparable term in any other Acquisition Agreement.
Maintenance Adjustment. Means, with respect to any Aircraft (including any Replacement Airframes and Replacement Engines therefor) or Additional Collateral, the dollar value reflecting the condition of the Aircraft (including any Replacement Airframes and Replacement Engines therefor) or such Additional Collateral as relative to half-life status as set forth in the most recently delivered Maintenance Adjustment Report.
