Liquidation Return definition

Liquidation Return means, on any date, the sum of U.S.$1,000 per Participating Share, plus (i) accumulated and unpaid dividends added to the Liquidation Return in respect of such Participating Share in accordance with Article 10A(C)(v) hereof and (ii) the amount, if any, added to the Liquidation Return in respect of such Participating Share in accordance with Article 10A(E)(vii)(d) hereof.
Liquidation Return for any Undivided Interest at any time means an amount determined as follows: LR = I x (BR + VF) x AAM ------------------- 360 where: LR = the Liquidation Return for such Undivided Interest at such time; I = the Investment in such Undivided Interest at such time; BR = the Bank Rate for such Undivided Interest for a Yield Period of 30 calendar days deemed to commence at such time; VF = the Variance Factor deemed to be in effect at such time, as determined pursuant to subsection (d) of this Section 2.05; and
Liquidation Return has the meaning set forth in Section 2.05(c) of the Receivables Purchase Agreement.

Related to Liquidation Return

  • Liquidation Profits As to any Distribution Date and any Mortgage Loan that became a Liquidated Loan during the Applicable Unscheduled Principal Receipt Period with respect to Full Unscheduled Principal Receipts for such Distribution Date, the excess, if any, of (i) Net Liquidation Proceeds in respect of such Liquidated Loan over (ii) the unpaid principal balance of such Liquidated Loan plus accrued interest thereon in accordance with the amortization schedule at the time applicable thereto at the applicable Net Mortgage Interest Rate from the Due Date to which interest was last paid with respect thereto through the last day of the month preceding the month in which such Distribution Date occurs.

  • Priority Return means a 6% cumulative, non-compounded, pre-tax annual return (based on a 365-day year).

  • Preferred Return has the meaning specified in the Company LLC Agreement.

  • Liquidation Report The report with respect to a Liquidated Mortgage Loan in such form and containing such information as is agreed to by the Servicer and the Trustee.

  • Liquidation Date means (a) in the case of an event giving rise to the dissolution of the Partnership of the type described in clauses (a) and (b) of the first sentence of Section 12.2, the date on which the applicable time period during which the holders of Outstanding Units have the right to elect to continue the business of the Partnership has expired without such an election being made, and (b) in the case of any other event giving rise to the dissolution of the Partnership, the date on which such event occurs.
