License Undertaking definition

License Undertaking means any and each written undertaking or assurance given in connection with the Offer by any one or more of Newco or the Target or any Affiliate of any of them to the Director General or the Secretary of State (as defined in the Act) concerning the management and/or ownership of and/or other matters concerning the Target or any of its Subsidiaries once it has become a Subsidiary of Newco.

Related to License Undertaking

  • Disclosure Undertaking means the Continuing Disclosure Undertaking, dated as of the Dated Date, relating to certain obligations contained in the SEC Rule.

  • L/C Undertaking has the meaning set forth in Section 2.12(a).

  • Sublicense Agreement means any agreement or arrangement pursuant to which Licensee (or an Affiliate or Sublicensee) grants to any third party any of the license rights granted to the Licensee under the Agreement.

  • Third Party Agreement has the meaning provided in Section 5(a) hereof.

  • Patent License Agreement means the Patent License Agreement by and between Buyer and Seller substantially in the form attached hereto as Exhibit F.
