Legally Compatible definition

Legally Compatible includes, but is not limited to, the understanding that, except as expressly provided herein, the Fiber Network may not (i) be used to provide or receive Telecommunications Services; (ii) be used by or to serve any member of the general public except for governmental or educational uses; (iii) be interconnected with any other institutional network or other similar system except for governmental or educational uses. The Fiber Network may be connected to County owned and operated internal switches which allows Telecommunications use among the County and Qualified Fiber Network Users, and which will permit interconnection between the County and Qualified Fiber Network Users with carriers of Telecommunications Services certificated by the California Public Utilities Commission or information service providers, provided that the County pays any legally required fee for the transmission of data or Telecommunications to such third party providers. Notwithstanding the foregoing, if at any time it is determined by a court or agency or legislature of competent and controlling jurisdiction that the use or provision of the Fiber Network constitutes a Telecommunications Service, or that the provision of the Fiber Network by Grantee in accordance with this Agreement or the Franchise is unlawful, such use or provision of the Fiber Network shall cease immediately upon written notice from Grantee.
Legally Compatible has the meaning given in Section 2.2.

  • The Fiber Network shall be a private communications network, governed by this Agreement, the Franchise and the Cable Act, which may be used only by the County and any other Qualified Fiber Network User to communicate among themselves in a manner that is both Technically Compatible and Legally Compatible.

  • Substantially Complete means that all work described in the specifications or shown on the drawings is done, with only minor items needed to fully complete the work. Typical work that should be done in order to be considered substantially complete include: all equipment installed, piped, electrically connected, and tested with any problems corrected; control systems completed, calibrated and functioning as intended, insulation installed. Equipment should be fully functional and ready for use.

  • Compatible means the ability of two or more substances to maintain their respective physical and chemical properties upon contact with one another for the design life of the tank system under conditions likely to be encountered in the UST.

  • Substantially Completed means: (i) the Company and the Contractor have issued a certificate of substantial completion in form and substance satisfactory to Buyer certifying that the Hotel has been constructed substantially in accordance with the Plans and Specifications and the Legal Requirements, (ii) a certificate of occupancy authorizing the opening of the Hotel for business to the public and for operation under the Brand has been issued by the local governing authority and is in full force and effect, (iii) all other final and unconditional consents, approvals, licenses and operating permits necessary or appropriate for the Hotel to open for business to the public and to operate under the Brand have been issued by and obtained from all applicable governmental and regulatory authorities, subject to Punch List Items; (iv) the Hotel is fully furnished, fitted and equipped and ready to open for business to the public and operate under the Brand, subject to Punch List Items; (iii) all contractors, subcontractors, suppliers, mechanics, materialmen and other persons or entities providing labor or materials for the construction and development of the Hotel shall have been paid (or adequate provision for payment of such persons or entities, which is not required to be an actual escrow of funds, has been made to Buyer’s reasonable satisfaction), subject to Punch List Items and (iv) the Franchisor has approved the completion, furnishing and equipping of the Hotel and is prepared to commence (or authorize the commencement of) operation of the Hotel, and all of the other conditions set forth in the Management Agreement and the Franchise Agreement have been satisfied, subject to Punch List Items.

  • ▇▇▇▇▇-Compatible Format (a) With respect to the CREFC® Schedule AL File, the Schedule AL Additional File and any other information required pursuant to Item 1111(h) of Regulation AB, XML Format or such other format as mutually agreed to between the Depositor, Certificate Administrator and the Master Servicer and (b) with respect to any other document or information, any format compatible with ▇▇▇▇▇, including HTML, Word, Excel or clean, searchable PDFs.
