Lead Option definition

Lead Option is defined in Section 4.3.1.
Lead Option has the meaning set forth in Section 4.2.

Examples of Lead Option in a sentence

  • If Licensee exercises the Back-up Option prior to the delivery by K▇▇▇▇▇ to Licensee of the Phase I Data Package for the Lead Molecule and then subsequently elects to exercise the Lead Option, Licensee shall pay to Kineta the difference between the Option Exercise Payment for the Lead Option and the Back-up Option or [***].

  • In consideration of Licensee’s exercise of the Option during the Option Period, Licensee shall pay to Kineta a one-time payment in the amount of (i) [***] if the Lead Option is exercised pursuant to Section 4.3.2(a)(i) or if the Back-up Option is exercised pursuant to Section 4.3.2(b); or (ii) [***] if the Lead Option is exercised pursuant to Section 4.3.2(a)(ii) (the “Option Exercise Payment”).

  • If Licensee elects to exercise the Lead Option pursuant to Section 4.3.2(a)(i), Kineta will be eligible for a one-time payment in the amount of [***] following the first dosing of a patient in a Phase I Clinical Trial for the Licensed Product.

  • If Licensee chooses not to proceed with the HEMP Phase Ib study or fails to notify Kineta of their intention to proceed within such 60 days, Licensee will not pay the Interim Phase I Milestone Payment and the Lead Option will be terminated with immediate effect unless otherwise mutually agreed to by the Parties.

  • The Lead Option Period defined in Section 4.3.2(a)(ii) of the Agreement is hereby reduced from four (4) months to three (3) months after delivery by Kineta to Licensee of the Phase I Data Package for such Licensed Product.

  • Following delivery of the written notice of Lead Option exercise by BMS or the written notice of any Back-Up Option exercise, upon the applicable License Effective Date, the license set forth in Section 5.1.1 with respect to the Exploitation of each such Licensed Development Candidate and corresponding Licensed Products Directed to the corresponding Collaboration Target shall, and hereby does, automatically become effective.

  • In consideration of Licensee’s exercise of the Option during the Option Period, Licensee shall pay to Kineta a one-time payment in the amount of (i) [***] if the Lead Option is exercised pursuant to Section 4.3.2(a)(i) or if the Back-up Option is exercised pursuant to Section 4.3.2(b); or (ii) Twenty-Four Million US Dollars ($24,000,000) if the Lead Option is exercised pursuant to Section 4.3.2(a)(ii) (the “Option Exercise Payment”).

Related to Lead Option

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Director Option means an Option granted pursuant to Section 6.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.
