Kirin Technology definition

Kirin Technology means the Kirin Improvements, Kirin Know-How and Kirin Patents, either collectively or any part thereof.

Kirin Technology means: all Patent Rights, copyrights, trade secrets and all other intellectual property rights and interests of every nature (specifically including, but not limited to, unpatented inventions, ideas, data, know-how, methods, processes, biological material, reagents, software and trade secrets of any kind, and any other rights or interests in any Inventions) that are: (i) owned by Kirin or any its Affiliates (to the greatest extent that Kirin or its Affiliates has the right and authority to grant licenses as of the Effective Date) or, if not so owned, as to which Kirin or any of its Affiliates otherwise has the right to grant licenses or sublicenses as of the Effective Date (subject to any limitations imposed by a Third Party license); (ii) necessary or useful to perform the R&D Work or to make, have made, use, sell, offer for sale and/or import New Products and (iii) as directed by the JRDC.

  • Similarly, Kirin will disclose to Dendreon on a regular basis the Kirin Technology and provide reasonable assistance to Dendreon (at Dendreon's request and expense) in transferring such Kirin Technology for use in developing Dendreon Products and for use in commercializing the Licensed Kirin Products in North America.

  • The breaching Party shall further deliver to the non-breaching Party such relevant tangible materials embodying such Dendreon Technology, Kirin Technology and Collaboration Technology as may be necessary or useful to the exercise of the non-breaching Party of the license hereunder.

  • During the Term of this Agreement, the Parties shall participate in biannual joint meetings to confer on the collaboration under this Agreement with respect to the Kirin Technology, Medarex Technology, and technology relating to KM-Mice, KM Patent Rights, and KM Know-How, and regarding the continued efforts of the Parties, if any, with respect to the development of the Technologies licensed pursuant to this Agreement.

  • Technology" shall mean Medarex Technology or Kirin Technology, as the case may be.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Information Technology (IT) System means the combination of hardware components, software, and other equipment to make a system whose core purpose is to accomplish a data processing need such as the automatic acquisition, storage, analysis, evaluation, manipulation, management, movement, control, display, switching, interchange, transmission or reception of data. IT systems include ground systems in support of flight hardware. IT systems do not include—

  • Clean coal technology means any technology, including technologies applied at the precombustion, combustion, or post combustion stage, at a new or existing facility which will achieve significant reductions in air emissions of sulfur dioxide or oxides of nitrogen associated with the utilization of coal in the generation of electricity, or process steam which was not in widespread use as of November 15, 1990.

  • Third Party Technology means all Intellectual Property and products owned by third parties and licensed pursuant to Third Party Licenses.

  • SAP Technology Solution(s means SAP NetWeaver Foundation for Third Party Applications, SAP Business Technology Platform (excluding when used solely as a Connectivity App between an SAP Application and ERP), SAP Signavio Solutions and SAP Process Insights (including any renamed, prior and/or successor versions of any of the foregoing made generally available by SAP if any but excluding when any of the foregoing are used as a User Interface for ERP.

  • Program Technology means Program Know-How and Program Patents.

  • Product Technology means the Product Know-How and Product Patents.

  • Technology Rights means BOARD's rights in any technical information, know-how, processes, procedures, compositions, devices, methods, formulae, protocols, techniques, software, designs, drawings or data created by the inventor(s) listed in Exhibit I at UTMDACC before the EFFECTIVE DATE, which are not claimed in PATENT RIGHTS but that are necessary for practicing PATENT RIGHTS.
