Copy of JRI proceedings and Acceptance Certificate shall be dispatched to the Seller within 30 days of completion of the JRI.
In case the Seller’s representative is not present, the JRI proceedings and Acceptance Certificate shall be signed by the Buyer’s representative only and the same shall be binding on the Seller.
The Buyer will invite the Seller with a prior notice of a minimum of fifteen (15) days to attend the JRI for the delivered goods.
JRI shall be completed within 120 days (for armament/ ammunition)/ 90 days (for other than armament/ammunition) of arrival of good at the Port Consignee.
In case of deficiencies in quantity and quality or defects, details of these shall be recorded in the JRI proceedings, Acceptance Certificate shall not be issued and claims raised as per the Article on Claims in the contract.
If the Buyer does not perform the JRI as mentioned above for reasons exclusively attributable to him/ her, the JRI in India shall be deemed to have been performed and the stores/ equipment fully accepted.
In case of claims, Acceptance Certificate shall be issued by Buyer’s representative after all claims raised during JRI are settled.
Further, any employees placed into positions noted in Enclosure 13 of the Collective Agreement must successfully complete all required training; failure to do so will result in the employee being placed back on IS or JRI status .
Notwithstanding the foregoing, Schedule A may be amended at any time with the consent of JRI and the consent of no other Holder will be required for such an amendment.
Such CBL Principal has full legal power, authority and right to vote its REIT Stock in favor of approval of the issuance of the SCUs as contemplated in the Master Contribution Agreement and the transactions herein and therein contemplated (including voting for the JRI Representatives as directors) and to take the other actions required by this Agreement without the consent or approval of, or any other action on the part of, any other Person.
