Where such services, facilities or equipment are not available without charge to ITFL, then Licensee shall meet the costs thereof.
ITFL may assign the benefit and burden of this Agreement for the purposes of restructuring the commercial operations of the ITF Limited (the “ITF”) to any entity capable of performing this Agreement which is owned and/or controlled by ITF.
Notwithstanding anything in this Agreement to the contrary, ITFL shall not be liable in any circumstances for any indirect or consequential loss (which expression shall include but not be limited to loss of anticipated profits, loss of anticipated savings and all other economic loss).
Not withstanding that the Transmission Rights for any ▇▇▇▇▇ Cup Semifinal and/or Final featuring the Slovakian team taking place during the term are excluded from this Agreement, ITFL hereby confirms that in the event that the Slovakian team participates in a ▇▇▇▇▇ Cup Semifinal and/or Final in any year of the Term it will give Licensee a reasonable right of first negotiation to acquire the Transmission Rights for the Territory in respect of any such tie.
If Licensee does not show live Licensee will show the 1st round away tie in full until tie is decided on a delayed basis (not more than 12 hours delay) unless ITFL agrees otherwise, such agreement not to be unreasonably withheld or delayed.
Licensee hereby assigns to ITFL by way of assignment of future copyright all copyright whether vested, future or contingent and other Proprietary Interests in its film and/or broadcast and/or recording of the Events including the Feed, picture sound and commentary tracks.
Accordingly, Licensee hereby undertakes to ITFL that it shall procure that all such Event Sponsors and Official Suppliers are offered the first opportunity to purchase exclusive advertising packages and/or commercial airtime in and around Licensee's transmission of the Events.
Licensee shall only refer to each Event by the Event Title and shall in consultation with ITFL or its representative identify suitable opportunities by way of backdrops to provide additional exposure for Event Sponsors and Official Suppliers in interview rooms and similar environment.
The liability of ITFL under this Agreement in respect of any proven breach shall be to pay damages up to a maximum of the sums actually received by ITFL from Licensee pursuant to Clause 4 of this Agreement.
Any displacement of seats or other facilities at the Venue which may reduce income available to ITFL and/or the organiser/promoter, whether for the purpose of installing the Equipment or otherwise, may only be effected with the prior consent of ITFL.
