In accordance with the provisions of Applicable Law and subject to the terms and conditions of this Agreement, Woman’s Life, will be merged with and into TFL (the "Merger") as of 12:00 a.m. central standard time on July 1, 2024 or at such later time as the Parties may agree (the "Effective Time").
