Interim Security Documents definition

Interim Security Documents means the agreements listed in clause (a) of paragraph 2 of Schedule 4 (Conditions Precedent).
Interim Security Documents has the meaning assigned to "Security Documents" in the Interim Credit Agreement.
Interim Security Documents means the documents creating a security interest in any of the Interim Collateral granted by the Corporation or the Interim Guarantors (other than Telegraph Gold Inc.) securing or intending to secure the payment of the Principal Amount and the performance of the obligations of the Corporation under this Debenture, the obligations of the Interim Guarantors under the Interim Guarantees and the payment of the principal amount and the performance of the obligations of the Corporation under the other Convertible Debentures.

Examples of Interim Security Documents in a sentence

  • The Interim Security Agent may at any time assign or otherwise transfer all or any part of its rights and obligations under this Debenture in accordance with the Interim Security Documents.

  • Each of the Parties agrees that the Interim Security Agent shall have only those duties, obligations and responsibilities expressly specified in this Agreement or in the Interim Security Documents (and no others shall be implied).

  • A copy of the counterparts of each of the following Interim Security Documents executed by Topco and the Company (in each case to the extent they are a party to such document): Topco Limited recourse security agreement granting third party security in respect of Topco's shares in the capital of the Company.

  • If for any reason the trusts expressed to be created in this Clause should fail or be unenforceable, the affected person shall promptly pay an amount equal to the relevant receipt or recovery to the Interim Security Agent to be held on trust by the Interim Security Agent for application in accordance with Clause 15.9 (Enforcement of Interim Security Documents).

  • The provisions of the Interim Facility Agreement (as amended by this Agreement) and the other Interim Documents (including, without limitation, the guarantee and indemnity of each Obligor and each of the Interim Security Documents) shall continue in full force and effect.

  • If for any reason the trusts expressed to be created in this clause should fail or be unenforceable, the affected person shall promptly pay an amount equal to the relevant receipt or recovery to the Interim Security Agent to be held on trust by the Interim Security Agent for application in accordance with Clause 15.7 (Enforcement of Interim Security Documents).

Interim Security Documents means each of the security documents set out in the table at sub-paragraph (a) of paragraph 2 of Schedule 4 (Conditions Precedent).
Interim Security Documents means any document required to be delivered to the Interim Facility Agent under paragraph 2(b) of Schedule 3 (Conditions Precedent).

  • UK Security Documents means the UK Pledge Agreements and the UK Debenture.

  • Collateral Security Documents Any document or instrument given to secure or guaranty the Mortgage Loan, including without limitation, the Mortgage, each as amended, supplemented, assigned, extended or otherwise modified from time to time.

  • Transaction Security Documents means each of the documents listed as being a Transaction Security Document in paragraph 2(e) of Part I of Schedule 2 (Conditions Precedent) of the 2009 Financing Agreement and any document required to be delivered to the Administrative Agent under paragraph 3(d) of Part II of Schedule 2 (Conditions Precedent) of the 2009 Financing Agreement together with any other document entered into by any Obligor creating or expressed to create any Security over all or any part of its assets in respect of the obligations of any of the Obligors under any of the Finance Documents (and any other Debt Documents).

  • ABL Security Documents means any agreement, document or instrument pursuant to which a Lien is granted securing any ABL Obligations or under which rights or remedies with respect to such Liens are governed.

  • Second Lien Security Documents means the “Security Documents”, as defined in the Second Lien Credit Agreement, and any other agreement, document or instrument pursuant to which a Lien is granted to secure any Second Lien Obligations or under which rights or remedies with respect to any such Lien are governed.
