Interim Documents definition

Interim Documents means the "Interim Documents" as defined in the Interim Facilities Agreement;
Interim Documents means each of this Agreement, the Interim Senior Fee Letter and the Interim Security Documents, any Drawdown Request, each Bank Guarantee, in relation to any currency, the Latest Compounded Rate Supplement then in effect for each applicable currency, and any other document designated as such in writing by the Interim Facilities Agent and the Obligors’ Agent.
Interim Documents means any Interim Management Agreement, Interim Sublease, or any Multi-Party Agreement entered into as of the Effective Date with respect to a Facility and by and between any Tenant (and/or its management company affiliate), on the one hand, and the outgoing operator of such Facility, on the other hand, and pursuant to which (among other things) said Tenant (and/or its management company affiliate) agrees to (i) sublease the Facility to said outgoing operator on an interim basis for temporary licensing purposes, and/or (ii) manage the day-to-day operations of said Facility utilizing the outgoing operator’s operating license.”

  • If any provision of the Interim Documents is or becomes illegal, invalid or unenforceable in any jurisdiction that shall not affect the validity or enforceability in that jurisdiction of any other term of the Interim Documents or the validity or enforceability in other jurisdictions of that or any other term of the Interim Documents.

  • All payments made or to be made by an Obligor under the Interim Documents shall be paid in full without set-off or counterclaim.

  • Any term of the Interim Documents may only be amended or waived with the consent of each Interim Lender and Bidco and any such amendment or waiver will be binding on all Parties.

  • Such equity commitment letter of the Additional Investor shall be deemed an “Equity Commitment Letter” for purposes of this Agreement and the other Interim Documents.

  • If any Obligor fails to pay when due any amount payable by it under the Interim Documents (an Unpaid Sum), it must immediately on demand by the Interim Facility Agent pay interest on the Unpaid Sum from its due date up to the date of actual payment, both before and after judgment.

  • This Agreement, together with other Interim Documents and the other agreements referenced herein, constitutes the entire agreement, and supersedes all prior agreements, understandings, negotiations and statements, both written and oral, among the parties hereto or any of their Affiliates with respect to the subject matter contained herein.

  • None of the Arrangers or the Agents will be obliged to transmit to or notify any other Interim Finance Party of any information relating to any Party which that Arranger or Agent has or may acquire otherwise than in connection with the Interim Facilities or the Interim Documents.

  • The Interim Security Agent may at any time assign or otherwise transfer all or any part of its rights and obligations under this Agreement in accordance with the Interim Documents.

  • Subject to the foregoing, the Parties shall cooperate and proceed in good faith to facilitate the Chairman Parties to negotiate and consummate the Transactions (including without limitation negotiating any amendments or supplements (if any) to the Merger Agreement, Interim Documents and other definitive documents in respect of the Transactions) with the Special Committee.

Interim Documents means this letter and any other document designated as an “Interim Document” by the Arrangers and Bidco.

Related to Interim Documents

  • Related Documents mean and include without limitation all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Indebtedness.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Notes and the Trust Securities.

  • Financing Documents means, collectively, this Agreement, the Note, the Security Documents, the Account Control Agreement and any other agreements, documents or certificates delivered pursuant hereto or thereto.

  • Construction Documents means the plans, specifications, approved change orders, revisions, addenda and other information approved by the City, which set forth in detail the Work to be performed for a construction Project.

  • Bidding Documents means the set of Bidding Documents that preceded the placement of the Contract of which these GCC form a part, which were sold or issued by the Purchaser to potential Bidders, and in which the specifications, terms and conditions of the proposed procurement were prescribed.

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.
