It shall not be necessary for the consent of the Noteholders or the Interest Rate Cap Counterparty pursuant to this Section to approve the particular form of any proposed amendment or consent, but it shall be sufficient if such consent shall approve the substance thereof.
All amounts deposited in an Interest Rate Cap Agreement Collateral Account shall be paid to the Issuer (and become part of Available Funds on the related Distribution Date) or returned to the related Interest Rate Cap Counterparty, from time to time, in accordance with the provisions set forth in the related Credit Support Agreement.

Any such amendment, modification or supplement without the consent of the Interest Rate Cap Counterparty shall not be binding on the Interest Rate Cap Counterparty.
