  • The Company shall not as of the end of any fiscal quarter permit Consolidated Net Income (excluding amortization of intangibles and restructuring charges and non-cash expenses and write-offs related to or incurred in respect of the ATI Acquisition, the IKOS Acquisition and the Innoveda Acquisition taken in the fiscal quarter in which the consummation of such Acquisition occurs, or in the immediately following fiscal quarter) to be less than $0 at any time.
