Initial Valuations definition

Initial Valuations has the meaning set forth in Section 1.5(b)(i)(A) of the Subscription Agreement.

Examples of Initial Valuations in a sentence

  • The Initial Valuations shall be expressed in US Dollars and thereafter shall be converted into Euro by using the average exchange rate for the 10 (ten) day trading period prior to the date of such valuations.

  • If the Third Valuation is exactly between the two Initial Valuations, then the Fair Market Value shall be the Third Valuation.

  • If the Managing Directors Special Committee and the Board agree on a valuation of the Affected Entity or Entities within 10 business days following the receipt of the Initial Valuations from such investment banks, then such valuation of the Affected Entity or Entities will be final, binding and conclusive on all parties including the Company, Lazard and the Members for the purposes of this Agreement.

More Definitions of Initial Valuations

Initial Valuations has the meaning set forth in Section 10.4(a).
Initial Valuations means initial valuations of the Land Interests dated [November 2013] and recorded in Schedule 1 (as amended from time to time in accordance with the terms of this Agreement);
Initial Valuations means collectively the Initial GPA Valuations and the Initial Company Valuations; (g) “Final Equity Value” shall be the Equity Value of GPA and/or the Equity Value of the Company, as applicable, which shall be considered for the purposes of the Migration, of the GPA Call Option and of Grupo CB Call Option, subject to the readjustment provided for in Annex 7.12, if this comes to be realized as provided in this Agreement.

Related to Initial Valuations

  • Initial Valuation means, when used with reference to specified Collateral, the Valuation initially performed for the Collateral as of the date on which the Collateral was added to the Collateral Pool. The Initial Valuation for each of the Initial Mortgaged Properties is as set forth in Exhibit A to the Agreement.

  • Initial Valuation Date means the Issue Date, provided that if such day is not an Exchange Business Day for a Reference Asset then the Initial Valuation Date for that Reference Asset will be the first succeeding day that is an Exchange Business Day, subject to the occurrence of a Market Disruption Event. See “DESCRIPTION OF THE NOTES – Market Disruption Event” below for further detail.

  • Initial Value means the net asset value of one unit or share of an investment fund at the beginning of the performance measurement period; and

  • RI Initial Value means, in respect of a Reference Item, the Initial Closing Price.

  • Annual Valuation Date means the Valuation Date each calendar year so designated by the Trust, commencing in the calendar year 2003.
