  • Infradata shall however always be entitled to remuneration for the Service Activation Project irrespective of whether the Managed Services requested by the Customer can be delivered as initially intended.

  • Such transfer of rights shall however not prevent Infradata from delivering similar or identical deliverables to other parties without any restriction, subject to compliance with its confidentiality obligations under this Agreement.

  • The Customer grants Infradata a non-exclusive, world-wide, fully paid-up right to use, modify and reproduce any IPR owned by the Customer exclusively for the provision of the Services and/or Deliverables, without any right to divulge this IPR to a third party unless for the provision of the Services and/or Deliverables by a Subcontractor to the Customer as set out in the SoW.

  • Where a request for change is made by the Customer, Infradata shall inform the Customer within seven (7) business days of receipt of the change request of any change to the Agreed Specification of any increase or decrease in costs and any change to the estimated time schedule or inform the Customer that such requested change is not possible or unreasonable to execute.
