Hana further acknowledges and agrees that Hana will be responsible for, indemnify, hold harmless and defend the INEX Indemnitees from and against any and all Damages suffered or incurred by any INEX Indemnitee arising out of, related to, resulting from or in connection with Hana’s failure to make payment to Elan International Services, Ltd.
Licensee Indemnitees has the meaning set forth in Section 11.2.
Company Indemnitees shall have the meaning set forth in Section 5.02.
Seller Indemnitees has the meaning set forth in Section 8.03.
Licensor Indemnitees has the meaning set forth in Section 9.1.
Buyer Indemnitees has the meaning set forth in Section 8.02.
SpinCo Indemnitees shall have the meaning set forth in Section 4.3.
D&O Indemnified Parties shall have the meaning set forth in Section 6.6(a).
Purchaser Indemnitees has the meaning set forth in Section 7.02.
Parent Indemnitees has the meaning set forth in Section 8.02.
Seller Indemnified Persons has the meaning set forth in Section 8.3.
Lender Indemnitees shall have the meaning given to it in Section 14.19 hereof.
Indemnified Parties has the meaning set forth in Section 8.2.
Company Indemnified Persons has the meaning set forth in Section 5(a).
Seller Indemnified Parties has the meaning set forth in Section 8.1.
